1. Acceptance of Terms

By registering an account on radar.frontlineagency.ca, initiating a subscription, or configuring our data connectors, you (the "User", "Client", or "Subscriber") agree to be bound by these Terms of Service (this "Agreement") in their entirety.

This Agreement is a legally binding contract between you and Frontline Agency (operating as "Radar by Frontline", "we", "us", or "our"). If you are entering into this Agreement on behalf of a corporation, marketing agency, or other legal entity, you represent and warrant that you hold the legal authority to bind that entity to these terms.

2. SaaS License and System Constraints

We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to access our dashboard and use our data connectors for your internal business reporting and client-facing analytics.

Under the terms of this license, you agree that you will not:

  • Decompile, reverse-engineer, disassemble, or attempt to reconstruct the source code, database architecture, or proprietary algorithms of the Service.
  • Access or query our API endpoints using automated scripts or scrapers outside of the officially authorized connectors.
  • Use the Service to build a competing data connector, data-matching software, or reporting application.
  • Sell, rent, lease, or redistribute API access keys generated by our dashboard to unauthorized third parties.

3. Integrated Third-Party Platforms and Client Warranties

Radar by Frontline is a middleware connector designed to aggregate data across various integrated platforms:

  • Customer Relationship and Field Service Management Systems.
  • Call Tracking and Marketing Attribution Platforms.
  • Local SEO and Search Visibility Engines.

When using these integrations, you agree to the following terms:

  • Authorized Access: You represent and warrant that you hold valid, legally obtained developer credentials, client IDs, or API keys for all platforms you connect, and that your use of these APIs does not violate the terms of service of those respective platforms.
  • Consumer Consent: You represent and warrant that you have obtained all necessary, legally binding consents from your end-customers to collect, transmit, and match their personal information (including phone numbers and transaction values) through our Service.
  • Attribution Indemnity: You agree to indemnify, defend, and hold Frontline Agency harmless from any third-party claims, lawsuits, or regulatory penalties arising from your failure to secure proper consent from your customers prior to syncing their data through the Service.

4. Stripe Subscription Billing and Canadian Taxes

A. Subscription Term

The Service is billed on a recurring monthly or annual subscription model. All fees are processed in Canadian Dollars (CAD) via Stripe. Your subscription will automatically renew at the end of each billing cycle unless you cancel it within your dashboard before the renewal date.

B. Regional Tax Calculation (GST, QST, HST)

All listed subscription prices are exclusive of federal and provincial sales taxes. Taxes are calculated dynamically at checkout based on your registered business billing address:

  • Quebec-Based Entities: Subscriptions are subject to 5% federal GST and 9.975% provincial QST, representing a combined sales tax of 14.975% calculated and collected at checkout.
  • Other Canadian Provinces: Subscriptions will be subject to the applicable Harmonized Sales Tax (HST) or Goods and Services Tax (GST) relative to your province (such as 13% in Ontario or 15% in Nova Scotia).
  • International Clients: Subscriptions for businesses located outside of Canada will be exempt from Canadian sales taxes, but remain subject to any local tax collection requirements enforced by Stripe.

C. Cancellation and Refund Policy

You may cancel your subscription at any time. Upon cancellation, your access remains active until the end of your current paid billing period. We do not provide prorated refunds or credits for mid-cycle cancellations.

5. Service Levels, API Limits, and Throttling

While we aim for maximum system availability, the Service relies on external third-party APIs:

  • API Disruptions: We are not liable for any downtime, reporting failures, or data sync interruptions caused by changes, rate-limit policies, deprecations, or outages on connected third-party platforms or reporting endpoints.
  • Throttling and Rate Limiting: Our system utilizes automated queuing and caching structures to protect your developer keys from triggering API blocks. We reserve the right to throttle background data sync frequencies (for example, shifting from hourly to daily syncs) if your connected accounts generate disproportionately high API traffic that threatens platform stability.

6. Intellectual Property

All software, proprietary code, database schemas, reporting templates, logos, UI designs, and brand elements are the exclusive intellectual property of Frontline Agency.

Your subscription grants you a temporary license to use these assets for reporting purposes; it does not transfer any ownership or intellectual property rights to you.

7. Limitation of Liability and Warranty Disclaimer

The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, either express or implied.

To the maximum extent permitted by applicable Canadian and Quebec laws:

  • We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We shall not be liable for any indirect, incidental, special, exemplary, or consequential damages. This includes loss of profits, advertising spend, business data, or goodwill arising from system downtime, broken API mappings, or incorrect attribution reporting in your dashboards.
  • Our total, cumulative liability for any claim arising out of this Agreement shall not exceed the total subscription fees paid by you to us in the three (3) months immediately preceding the event that gave rise to the liability.

8. Governing Law and Forum Selection

This Agreement, its interpretation, and any disputes arising from your use of the Service are governed exclusively by the laws of the Province of Quebec and the federal laws of Canada applicable therein.

You agree that any legal action, suit, or proceeding arising under this Agreement must be brought exclusively before the courts of the judicial district of Montreal, Quebec, Canada.

9. Annex A: Data Processing Addendum (DPA)

This Data Processing Addendum ("DPA") forms an integral part of the Terms of Service between Frontline Agency (acting as the "Data Processor") and the Subscriber (acting as the "Data Controller").

1. Definitions

"Client Customer Data" means personal information (including phone numbers, customer names, job values, and invoice records) retrieved by the Processor from the Controller’s connected third-party platforms.

"Data Protection Legislation" means the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec’s Law 25.

2. Scope and Instructions

The Controller appoints the Processor to process Client Customer Data strictly on the Controller's documented instructions. These instructions are executed when the Controller connects third-party APIs to the Service. The processing is performed to execute phone-to-revenue matching, compile marketing performance metrics, and serve these aggregated values to the Controller's reporting accounts.

3. Security and Technical Safeguards

The Processor shall implement and maintain technical and organizational measures to secure Client Customer Data:

  • Encrypting all stored third-party credentials and OAuth tokens at rest using advanced cryptographic algorithms.
  • Protecting all data in transit using secure encryption protocols.
  • Maintaining strict logical separation between tenant databases to prevent cross-tenant data leaks.
  • Restricting internal database access to authorized technical personnel under strict non-disclosure terms.

4. Subprocessors

The Controller grants a general written authorization to the Processor to engage infrastructure subprocessors (specifically cloud storage and database hosting partners) to host databases and execute background server jobs. The Processor guarantees that all engaged subprocessors are bound by written data protection terms that are as stringent as those set out in this DPA.

5. Data Breaches and Incident Response

The Processor shall maintain an internal confidentiality incident register. In the event of a confirmed security breach resulting in unauthorized access to or alteration of Client Customer Data, the Processor shall notify the Controller without undue delay (and no later than forty-eight hours after becoming aware of the incident), assisting the Controller in fulfilling their notification obligations under Quebec's Law 25.

6. Deletion of Data

Upon termination of the Terms of Service, or upon the Controller deleting an integration inside the dashboard, the Processor shall permanently delete all associated credentials, cached API records, and daily metric tables within twenty-four hours.
